从公司治理结构看国有企业改革的成效、问题与出路

　　【摘 要】国有企业作为我国国民经济发展体系中的重要组成部分，对我国经济高质量发展转型具有深刻影响。深化国有企业改革是促进经济转型的途径之一，因此要不断优化国有企业治理结构，抓住混合所有制改革机遇，突破现有国有企业的发展局限，提高国有企业改革成效，进一步探索国有企业改革的有效出路。论文通过阐述公司治理结构对国有企业改革的影响，对公司治理结构下的国有企业改革成效进行分析，从而提出国有企业治理问题，并进一步提出国有企业改革的有效出路，以期为增强我国国有企业改革成效提供一定的参考。
　　【Abstract】As an important part of China's national economic development system， state-owned enterprises have a profound impact on the high quality development and transformation of China's economy. Deepening the reform of state-owned enterprises is one of the ways to promote economic transformation. Therefore， it is necessary to constantly optimize the governance structure of state-owned enterprises， seize the opportunity of mixed-ownership reform， break through the existing development limitations of state-owned enterprises， improve the effectiveness of state-owned enterprise reform， and further explore the effective way for state-owned enterprise reform. This paper expounds the impact of corporate governance structure on the reform of state-owned enterprises， analyzes the reform effect of state-owned enterprises under the corporate governance structure， and puts forward the governance problems of state-owned enterprises， and further puts forward the effective way to the reform of state-owned enterprises， so as to provide some reference for enhancing the reform effect of state-owned enterprises in China.

　　1 引言
　　国有企业是我国国民经济的重要主体，总体上，我国国有企业改革共经过了3个阶段[1]：第一阶段，国家尝试放权让利，逐步放弃集权管理，实现了国企整体发展活力的明显提升;第二阶段，对国有企业所有制关系进行改革，适应国内市场经济变化;十八大以来，国有企业改革进入第三个阶段，这一时期是中国经济社会发展的关键时期，在更加复杂多变的全球环境背景下，国有企业改革持续深化，有力增强了企业发展活力和内生动力，提升了企业发展质量和效益，国有企业为推动我国发展作出了积极贡献。2012-2018年全国国有企业资产总额、国有资本权益总额、营业收入、利润总额分别年均增长15.3%、15.3%、5.7%、7.0%。2019年，全国国有企业实现营业收入62.5万亿元，利润总额3.6万亿元，同比分别增长6.9%和4.7%。为充分解决国企改革举措落实不到位、改革不平衡的问题，党的十九届四中全会对深化国有企业改革作出重大部署，明确提出“深化国有企业改革，发展混合所有制经济”。国企改革在已经形成“1+N”政策体系的基础上，2019年中央经济工作会、2020年《政府工作报告》明确提出要制定实施国企改革三年行动方案[2]。因此，本文通过阐述公司治理结构对国有企业改革的影响，对公司治理结构下的国有企业改革成效进行分析，从而提出国有企业治理问题，并进一步从调整国有企业产权结构、完善混改企业法人治理机制、健全完善市场化经营机制、加强高层次人才队伍建设等方面探索国有企业改革出路，以期为增强我国国有企业改革成效提供一定的参考。
